1. Terms that are capitalized in the present Terms and Conditions of the Mintos Referral Program (hereinafter - Terms and Conditions) have the same meaning as the terms used in the TERMS AND CONDITIONS OF MINTOS INVESTMENT PLATFORM unless indicated differently in these Terms and Conditions.
2. Any Investor (hereinafter - User), by sharing the referral link or code (hereinafter - Referral Link) can participate in the Mintos Referral Program (hereinafter - Referral Program).
3. The program is applicable to investments in financial instruments offered on the Platform. Mintos is entitled to determine at its sole discretion and at any time the types and amounts of advertised bonuses and its investment services or products, or asset classes to which the Referral Program applies.
4. Users are prohibited to use the Referral Link:
4.1. in any way that differs from Mintos’ values or in any other way that may qualify as an unfair commercial practice, as determined at Mintos’ sole discretion;
4.2. if the User is a resident (has domicile) of jurisdictions outside European Union (EU)/ European Economic Area (EEA);
4.3. to post, publish or otherwise distribute the Referral Link:
4.3.1. to make any kind of commercial activity or paid promotion including online advertising;
4.3.2. to distribute the Referral Link on websites that provide erotic, indecent or deceptive content;
4.3.3. to distribute or publish the Referral Link on websites that provide gambling or betting services or money-back projects;
4.3.4. to distribute or publish the Referral Link on websites that offer the upload or download of illegal content, such as BitTorrent sites;
4.3.5. to distribute or publish the Referral Link on websites that are including but not limited to coupon sites or review sites;
4.3.6. to write emails, text or message people who Users do not personally know;
4.3.7. to integrate in browser extensions or using an automated system, script, program, dialer, or bot through any channel to distribute or post the Referral Link.
5. Users shall not distribute the Referral Link to and refer to potential users being residents (having domicile) of jurisdictions outside European Union (EU)/ European Economic Area (EEA).
6. When using the Referral Link and referring a potential user, the User shall warn the potential user, that:
6.1. before registering on the Platform and starting to invest potential user must make sure whether such service and product is allowed and not restricted on the territory of his/her home country;
6.2. investments available on the Platform are subject to risks and may lead to losses, as well as should be suitable for the personal circumstances of a potential user.
7. Disqualifications:
7.1. the Users will be immediately disqualified from the Referral Program if they refer to themselves, or have violated any provision of the Terms and Conditions. All referrals must be new investors to Mintos and cannot have an existing Investor’s Profile;
7.2. if Mintos, at its sole discretion, believes that the User created an Investor’s Profile for the primary purpose of collecting the reward of the Referral Program, the User will be disqualified from the Referral Program and will not be eligible for its rewards;
7.3. Mintos may review payment and withdrawal information if it suspects a breach of the Terms and Conditions;
7.4. if the User is found to be in violation of any provision of the Terms and Conditions and/or the TERMS AND CONDITIONS OF MINTOS INVESTMENT PLATFORM, Mintos is entitled to suspend at any time the payment of any Referral Program’ rewards. Mintos is entitled also to remove any previously paid rewards and to suspend Users from the Referral Program.
8. The User has an obligation to immediately stop participating in the Referral Program if requested by Mintos for any reason, at Mintos' sole discretion.
9. The User receives a one-time referral reward (hereinafter - the Reward I) based on the outstanding principal investments, in EUR or the EUR equivalent in other currency, of financial instruments specified by Mintos and held by the referred party within the term set in the Referral Program’s page. The Reward I is paid in EUR, in one installment within the timeframe specified on the Referral Program’s page, after the amount of outstanding principal investments is met and all conditions and preconditions for the Reward I set in the Terms and Conditions have been fulfilled and neither the User, nor the referred party were disqualified for any reason from the Referral Program.
10. The referred party receives a one-time reward (hereinafter - the Reward II), if any, based on the outstanding principal investments, in EUR or the EUR equivalent in other currency, of financial instruments specified by Mintos and held by the referred party within the term set in the Referral Program’s page. The Reward II is paid in EUR, in one installment within the timeframe specified on the Referral Program’s page, after the amount of outstanding principal investments is met and all conditions and preconditions for the Reward II set in the Terms and Conditions have been fulfilled and neither the User, nor the referred party were disqualified for any reason from the Referral Program. The Reward II is subject to territorial limitations set solely by Mintos, and may not be available in all Mintos operating countries, as specified on the relevant country-specific Referral Program’s page.
11. If the referred party invests in outstanding principal investments, in EUR or the EUR equivalent in other currency, of financial instruments specified by Mintos and at least EUR 1000.00 (one thousand euro) within the term set in the Referral Program’s page, the referred party qualifies for a one-time bonus (hereinafter - the Bonus) in the amount of 1% (one percent) from the average daily outstanding principal investments, in EUR or the EUR equivalent in other currency, of financial instruments held by the referred party exceeding EUR 1000.00 (one thousand euro) over the period of first 90 (ninety) days after referred party has successfully registered on the Platform, provided that the Bonus shall not exceed EUR 100.00 (one hundred euro) per referred party. The Bonus is paid in EUR, in one installment within the timeframe specified on the Referral Program’s page, after the amount of outstanding principal investments disclosed in this clause is met and all conditions and preconditions for the Bonus set in the Terms and Conditions have been fulfilled and neither the User, nor the referred party were disqualified for any reason from the Referral Program.
12. Notwithstanding clauses 9 and 13 and any information published on the Referral Program’s page to the contrary, the User receives an additional one-time referral reward in the amount of EUR 1000.00 (one thousand euro) (hereinafter - the HNW Reward), if:
12.1. within 30 (thirty) calendar days after the referred party has successfully registered on the Platform, the referred party holds outstanding principal investments, in EUR or the EUR equivalent in other currency, in financial instruments offered on the Platform, excluding Smart Cash, in the amount of at least EUR 100 000.00 (one hundred thousand euro); and
12.2. the referred party maintains the amount referred to in clause 12.1 for 90 (ninety) consecutive calendar days after the referred party has successfully registered on the Platform.
The HNW Reward is paid in EUR, in one installment, within 30 (thirty) calendar days after both of the conditions set out in 12.1 and 12.2 above (together with all other preconditions for the HNW Reward set in these Terms and Conditions) have been fulfilled, provided that neither the User, nor the referred party, were disqualified for any reason from the Referral Program.
The HNW Reward is paid in addition to, and is not reduced by, any Reward I paid or payable to the User in respect of the same referred party; for the avoidance of doubt, the HNW Reward and the Reward I, if any, are cumulative.
The amount of the HNW Reward, the required amount of outstanding principal investments, the period for reaching and maintaining such amount, the financial instruments to which this clause applies, and the payout timeframe set out in this clause 12 are fixed and apply in full, overriding any different amount, term, condition, financial instrument scope, or payout timeframe published on the Referral Program’s page or elsewhere on the Platform.
For the avoidance of doubt:
12.3. each referred party in respect of whom the HNW Reward becomes payable shall count towards the cap of 20 (twenty) referred parties set out in clause 17;
12.4. the prohibitions, preconditions, and disqualification grounds set out in clauses 4 to 8 and 14 apply equally to the HNW Reward; and
12.5. the Reward II and the Bonus payable to the referred party, if any, remain subject to clauses 10 and 11 respectively.
13. Hereinafter the Reward I, Reward II, the HNW Reward and Bonus are referred to as Rewards. The exact amounts, availability, as well as other terms and conditions of the Rewards under the Referral Program are listed on the Referral Program’s page on the Platform and may vary by jurisdiction or be subject to additional limitations and/ or conditions, save that the HNW Reward is governed exclusively by clause 12 and is not subject to any variation, limitation, or condition published on the Referral Program’s page.
14. For the User and/ or the referred party to receive the Rewards, the following preconditions must be fulfilled:
14.1. the User has the right to participate in the Referral Program and neither the User, nor the referred party, has breached the Terms and Conditions;
14.2. the referring User must be registered on Platform and have his/ her identity verified via the Mintos provided solution;
14.3. the referred party is at least 18 years old, and is a resident (has domicile) in jurisdictions within European Union (EU)/ European Economic Area (EEA);
14.4. the referred party must use the User’s Referral Link when creating the Investor’s Profile (registering), and have his/ her identity verified via the Mintos provided solution;
14.5. when creating the Investor’s Profile on Platform, the referred party must not have a previously created its profile on Platform under any email address before;
14.6. neither the User, nor the referred party, have violated any of the clauses of the Terms and Conditions and/ or TERMS AND CONDITIONS OF MINTOS INVESTMENT PLATFORM.
15. Mintos pays to the User and/ or the referred party the Rewards, if all conditions and preconditions for the Rewards set in these Terms and Conditions have been fulfilled, within the timeframe specified on the Referral Program’s page, or, in respect of the HNW Reward, within the timeframe set out in clause 12, after the necessary conditions for receiving the Rewards are passed by depositing electronic funds equivalent to the Rewards into the Cash Account and/ or the referred party. When calculating Rewards, the Terms and Conditions as well as amounts and other terms of Rewards being in force as of the referred party's registration moment, will apply.
16. The Rewards shall be determined based on the User’s tax residence and shall include all applicable taxes for participation in the Referral Program. Any respective taxes (if applicable) shall be covered by the User and/ or the referred party.
17. The User may refer the referral link to an unlimited number of referred parties; however, the User may receive the Rewards for a maximum of 20 (twenty) referred parties who have fulfilled the conditions and preconditions set in these Terms and Conditions.
18. The Referral Program cannot be used in conjunction with any other promotion.
19. Legal relations arising from the Referral Program shall be governed by the Terms and Conditions that have been published on the Platform at the moment when the referred party created the Investor’s Profile using/ indicating the User’s Referral Link. All that is not defined by the Terms and Conditions shall be defined according to the TERMS AND CONDITIONS OF MINTOS INVESTMENT PLATFORM.
20. Mintos shall not be deemed responsible for any misuse of the Referral Link, including but not limited to, technical issues that might cause the Referral Link to not work properly, thus not appearing as used when the referred party is creating the Investor’s Profile on the Platform.
21. Mintos is entitled, at its sole discretion and anytime, to unilaterally:
21.1. suspend, terminate or change the terms and requirements of the Referral Program, including amounts and terms of the Rewards;
21.2. change the Terms and Conditions, with immediate effect and without giving Users any prior notice. New versions of the Terms and Conditions as well as other terms of the Referral Program are published on the Platform.
